Hi Folks,

Not real sure how this will work out but I have agreed to give it a try.
I am more than willing to help or share things I have relative to ACT.
Let it be known I certainly don't have all the answers, not even close, but
I may be able to guide some of you on where to look or link you up with something.

"deserve" is a stong word, imo. One of the reasons for a separate forum
is somewhat selfish. Many times the same question is asked on many different
forums and I can easily track things better here than searching through
so many sites. PS..for those asking, the credit goes to feeed for the avatar
and musky pic, if left up to me nothing would have changed..

Always a Gentlemen Rocky. IMO your avatar fits you well indeed. I have been reading your posts for years and it has always amazed me the level of detail you have in finding the exact thing I am asking with in the SEC docs. "almost like a machine".

Whatever Rocky is for is good by me but hard to see how this is going to work unless all posters play by the rules and limit questions to the appropriate forums and not require endless hours from Rocky to net the various threads together. A couple questions came in over the weekend I will address here.

Yes, the S-1 registrations are now complete. The SEC has declared
both S-1's from 2009 effective. The 424B3's were expected and
it is standard procedure. I did make note of that prior as you
can see in this link quote and todays response to filings.

ask, I have been asking basic/dumb questions for 35 years, that's how I learned too

Registration Filings:

S-1
ACT uses the S-1 to register their financing. Either subscription agreements
or financing like Socius etc; This filing is also used to register warrants.
General form of registration statement.

S-8
A SEC filing required for companies wishing to issue equity to their employees.

The point of registering shares is a simple one. Once they are registered with the SEC
these shares can be sold immediately upon issue. That is the very reason it is in the
financing contracts that registration MUST take place. If shares are NOT registered,
they fall under Rule 144 which restricts the shares for 6 months, among other things.
So whether an employee is exercising options received or whether Socius was issued shares
under an ACT drawdown, the shares will be freely tradable and without restriction.
